Terms of use

Subject

These Terms of Use ("Terms") govern the contractual relationship (the "Agreement") between Cubra AG, Weite Gasse 13, 5400 Baden, Switzerland (the "Provider"), and registered users ("Users" or individually a "User") of the platform Plenio ("Plenio") provided by the Provider, as well as the access to and use of Plenio by the Users.

The Provider reserves the right to amend these Terms from time to time. Users will be appropriately informed of any changes.

Registration of a User Profile

Users can register a user profile ("User Profile") on Plenio to access and use all features. The data required for registration (first name, last name, email address, and password; "Login Data") is provided either directly by the User or through an existing Gmail or LinkedIn account.

The Provider has sole discretion to accept or reject a User's registration request. Even after registration, the Provider may deactivate a User Profile at any time.

To register, the User must be a natural person at least 18 years old. By registering, the User confirms this.

User Profile

Users can upload resumes and additional application documents (certificates, references, letters of recommendation, etc.; collectively "Content") to their User Profile. Alternatively, they can sync their profile with LinkedIn, linking stored content.

Users decide which content to upload and understand that the Provider and third parties will have access.

Users confirm the accuracy of the information in the Content.

Users are responsible for providing all necessary information and content required by the Provider to deliver its services. They understand that the nature and quality of content affects the Provider's services.

Users must keep their Login Data and content up to date and ensure they can receive and read emails from the Provider.

Users must keep their Login Data confidential and secure. They must notify the Provider immediately if they suspect or know of lost, stolen, or misused Login Data. Users are liable for all activity via their profile unless they acted without negligence.

Right of Use

The Provider grants Users with a user account the right to use Plenio as an internet-accessible SaaS solution under the following conditions and restrictions ("Right of Use").

The Right of Use is non-exclusive, non-transferable, and non-sublicensable, and limited to the version provided by the Provider.

The Right of Use begins upon successful registration and ends upon deactivation or deletion of the user account.

Users may not use robots, spiders, scrapers, or similar data extraction tools or any programs, algorithms, or methods to access, copy, or monitor Plenio's interface.

Plenio

Plenio uses AI to match Users with suitable job listings based on the content provided and filters relevant listings ("Suitable Listings").

The Provider informs Users of Suitable Listings, which they can accept ("Accepted Listings") or reject.

For Accepted Listings, the Provider may create tailored cover letters, resumes, and other required documents ("Specific Content") and contact the employer on behalf of the User.

If both parties are interested, the User and employer are connected.

Plenio is generally available, but service interruptions may occur. No minimum availability is guaranteed.

Plenio may contain links to third-party content. Such content is governed by separate terms and privacy policies. The Provider is not responsible for third-party content or offerings.

Use of Third Parties

The Provider may engage third parties (e.g., cloud providers) to deliver services without prior User consent.

The Provider remains fully responsible for the actions and omissions of subcontractors.

Fees

The Provider offers Plenio free of charge to Users.

The Provider reserves the right to charge employers for connecting with Users and related services. Fees belong solely to the Provider.

The Provider may change its pricing model at any time and will inform Users in advance.

Intellectual Property and Use of Content

All intellectual property rights to Plenio remain the sole property of the Provider and/or its licensors.

All rights to the User's Content remain with the User. The User grants the Provider the right to use the Content as needed to deliver services.

Rights to the Specific Content remain solely with the Provider. The Provider grants the User the right to use it during registration for Accepted Listings.

Warranty

Plenio and all features and content are provided "as is" without warranty. The Provider does not guarantee uninterrupted, secure, or error-free operation or successful job placement via Plenio.

Liability

The Provider is liable to Users only for direct damages caused by intentional or grossly negligent behavior. All other liability is excluded.

Indemnity

Users must fully indemnify the Provider against third-party claims resulting from violations of these Terms, misuse of Plenio, or violations of laws or third-party rights.

Confidentiality

Both parties must treat all confidential information learned during or in connection with this Agreement as strictly confidential.

Information that is or becomes public without breach of this obligation is not considered confidential.

Statutory disclosure obligations remain unaffected.

Data Protection

The Provider adheres to its privacy policy available at: PRIVACY POLICY

Deactivation of a User Profile

User Profiles are created for an indefinite period and can be terminated at any time by either party by deactivating or deleting the profile. Content and Specific Content are permanently deleted within one week after deactivation.

The Provider reserves the right to temporarily block access to Plenio.

Final Provisions

If any provision is or becomes invalid or incomplete, the remainder remains unaffected. The invalid provision shall be replaced with one closest to the intended economic purpose.

Transfer or assignment of the Agreement or related claims by a User requires the Provider's prior written consent. The Provider may assign or transfer the Agreement and all rights and obligations without restriction.

These Terms are governed exclusively by Swiss law, excluding private international law and the UN Convention on Contracts for the International Sale of Goods (CISG) of April 11, 1980.

The exclusive place of jurisdiction for all disputes related to these Terms is the Provider's registered office.
